1. Scope and B2B-only use
These terms apply to the Royal Baltic B2B platform and to sales by Royal Baltic&Co OÜ to customers acting for purposes related to their trade, business, craft or profession. The platform is not intended for consumer purchases.
By submitting a B2B application, request for quotation or order, the person acting for the customer confirms that they are authorised to represent that business.
2. Registration and business verification
Access to B2B prices or ordering functions may depend on verification of company details, VAT status, delivery capability, credit/payment conditions or customer class. Royal Baltic may request reasonable evidence and may reject, suspend or limit an account where supplied information is incomplete, inaccurate, unlawful or creates a material fraud, sanctions, food-safety or credit risk.
3. Quotations, orders and contract formation
Catalogue information, indicative stock and RFQ tools are invitations to negotiate, not a binding offer unless expressly stated otherwise. A contract is formed when Royal Baltic issues an order confirmation or otherwise expressly accepts the order in writing. An automated acknowledgement of receipt alone does not constitute acceptance.
Product availability, catch, season, specification, packing, origin, weight tolerances, delivery window and minimum order quantities may be confirmed separately for each order.
4. Prices, VAT and taxes
Royal Baltic&Co OÜ is currently not registered for VAT in Estonia and does not publish an Estonian VAT identification number. Unless stated otherwise, B2B prices exclude transport, customs, duties and other order-specific charges. Royal Baltic does not apply or promise VAT, reverse-charge or zero-rating treatment that is not legally available to the company at the time of invoicing.
Customers must provide accurate company and VAT information and promptly notify Royal Baltic of changes. If Royal Baltic becomes VAT registered, VAT treatment for subsequent transactions will be determined by the applicable law, place of supply, customer status and verified VAT information. Where legally relevant, EU VAT numbers may be validated through official validation systems.
5. Payment
Available payment methods may include card payment through Stripe and payment by invoice. Credit limits, deposits, advance payment, payment deadlines and late-payment consequences are stated in the order confirmation, invoice or separate agreement. Royal Baltic may withhold future deliveries while undisputed overdue amounts remain unpaid.
6. Delivery, cold chain and risk
Delivery conditions, temperature range, unloading requirements, delivery window and any agreed Incoterms® 2020 rule are specified in the order confirmation. Risk passes in accordance with the agreed delivery term. If no Incoterms rule is specified, the order confirmation governs.
The customer must ensure that an authorised person and suitable cold-storage capacity are available at delivery. Temperature-sensitive products must be handled without avoidable interruption of the cold chain.
7. Inspection, non-conformity and claims
The customer should inspect quantity, packaging condition, visible damage and available temperature records at delivery and report visible discrepancies without undue delay. Non-obvious quality or conformity issues should be reported promptly after discovery, with the product/lot reference and reasonable supporting evidence such as photographs, temperature records and retained samples where appropriate.
Nothing in these terms removes remedies that cannot lawfully be excluded. Specific contractual claim procedures or time limits stated in an accepted order take precedence to the extent permitted by applicable law.
8. Cancellation, withdrawal and returns
Royal Baltic sells through this platform on a B2B basis. EU consumer rules providing a 14-day right of withdrawal for distance contracts do not apply to purchases made by a customer acting for business or professional purposes.
Before Royal Baltic accepts an order, the customer may withdraw its request unless a binding quotation provides otherwise. After acceptance, cancellation requires Royal Baltic's written agreement. Where procurement, processing, packing, cold storage or transport has already been committed, reasonable resulting costs may be charged where permitted by the contract and applicable law.
There is no general discretionary return right for conforming food products. This does not affect rights concerning incorrect delivery, damage, agreed specifications or other non-conformity. Returns of food products require prior written instructions from Royal Baltic so that food-safety, traceability and cold-chain requirements can be maintained.
9. Product information and traceability
Royal Baltic aims to provide accurate species, origin, processing, packing and traceability information. Final legally relevant product information is that supplied with the lot, label, specification sheet and commercial documents. Customers remain responsible for any downstream labelling or information obligations applicable to their own resale or food-service activity.
10. Compliance and lawful trade
Each party must comply with applicable food-safety, customs, sanctions, export/import, anti-fraud and tax requirements relevant to its role. Royal Baltic may refuse or suspend a transaction where fulfilment would reasonably risk breaching applicable law or a binding restriction.
11. Liability
Each party remains liable where liability cannot lawfully be excluded or limited. Subject to mandatory law and any individually agreed contract, neither party is liable for indirect or consequential loss that was not reasonably foreseeable from the transaction. Any order-specific limitation agreed in writing prevails over this general clause.
12. Force majeure
A party is not responsible for delay or failure caused by circumstances beyond its reasonable control to the extent the event prevents performance, including severe weather, port disruption, fishing restrictions, epidemic measures, war, sanctions, government action, energy interruption or major transport disruption. The affected party must take reasonable steps to mitigate the impact and inform the other party.
13. Data protection
Personal data relating to business representatives is processed as described in the Royal Baltic Privacy Policy. Payment providers and other processors may apply their own legally required notices where they act as independent controllers.
14. Governing law and disputes
These terms and B2B contracts are governed by the laws of the Republic of Estonia, excluding conflict-of-laws rules, unless mandatory law requires otherwise. The parties should first seek a commercial resolution. Subject to mandatory jurisdiction rules, disputes are submitted to the competent courts in Tallinn, Estonia.
15. Changes and contract priority
Royal Baltic may update these website terms prospectively. A later website version does not retroactively change an already accepted order. If an order confirmation, signed agreement or negotiated quotation conflicts with these general terms, the specifically agreed term prevails for that transaction.
